1. Acceptance of Terms

By installing, accessing, or using Proofly ("the Service", "we", "us", or "our"), you ("Merchant", "you", or "your") agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not install or use the Service.

These Terms constitute a legally binding agreement between you and Proofly. By using the Service, you represent that you have the authority to bind your business to these Terms.

2. Description of Service

Proofly is a Store Readiness Intelligence System for Shopify that:

• Audits your product catalogue for quality issues (missing ALT text, weak descriptions, SEO gaps, Agent Readiness blockers)
• Generates AI-powered content suggestions for identified problems
• Requires merchant review and approval before applying any changes
• Maintains a complete audit and change history with rollback capability
• Calculates Store Readiness scores across multiple dimensions

Proofly is a tool to assist merchants — it does not guarantee specific outcomes such as increased sales, higher search rankings, or full regulatory compliance.

3. Subscription Plans & Billing

3.1 Plans

Proofly offers the following subscription tiers:

• Starter (Free): 14-day evaluation, up to 100 products
• Growth ($29.99/month): Up to 2,000 products, AI features, continuous monitoring
• Scale ($99.99/month): Up to 5,000 products, advanced intelligence

3.2 Billing

• All billing is managed through the Shopify Billing API
• Paid plans are billed monthly through your Shopify invoice
• You may upgrade, downgrade, or cancel at any time
• No cancellation fees apply
• We reserve the right to modify pricing with 30 days' prior notice

3.3 Refunds

Refund requests are handled in accordance with Shopify's billing policies. If you experience a service issue, please contact us at support@alphahive.io.

4. Merchant Responsibilities

You retain full responsibility for your store's content. Specifically, you are responsible for:

• Reviewing and approving all AI-suggested changes before they are applied
• Ensuring your store content complies with all applicable laws and regulations
• The accuracy, legality, and appropriateness of your product information
• Maintaining adequate backups of your store data
• Decisions about which fixes to apply and when

Proofly provides suggestions and tools — final decisions always rest with you.

5. AI-Generated Content

Proofly uses Google Vertex AI (Gemini) to generate content suggestions. You acknowledge that:

• AI-generated suggestions are recommendations only, not guarantees of quality or accuracy
• You must review all AI-generated content before approving it
• AI outputs may occasionally contain errors or inappropriate suggestions
• We do not warrant that AI-generated content is free from intellectual property concerns
• You accept responsibility for any AI-generated content you choose to publish

6. Data Usage & Privacy

By using Proofly, you grant us permission to:

• Access your Shopify store data as described in our Privacy Policy
• Use AI services to analyse product data and generate suggestions
• Store audit results and change history for service functionality

7. Intellectual Property

• Your Content: You retain all rights to your store content. Proofly does not claim ownership of your product data or store information.
• Our Service: Proofly, its design, code, algorithms, and documentation are our intellectual property, protected by applicable copyright and trademark laws.
• AI Suggestions: Ownership of AI-generated content applied to your store transfers to you upon approval and application.

8. Prohibited Uses

You agree not to:

• Use Proofly to generate spam, misleading, or fraudulent content
• Attempt to reverse-engineer, decompile, or extract the source code of the Service
• Use the Service to violate any applicable law or regulation
• Interfere with or disrupt the Service or its infrastructure
• Share your account access with unauthorised third parties
• Exceed the product limits of your subscription tier through circumvention

9. Service Availability & Modifications

• We aim for high availability but do not guarantee 100% uptime
• We may perform maintenance that temporarily affects service availability
• We reserve the right to modify, suspend, or discontinue features with reasonable notice
• We will provide at least 30 days' notice before discontinuing core functionality

10. Limitation of Liability

To the maximum extent permitted by applicable law:

• Proofly is provided "as is" and "as available" without warranties of any kind, whether express or implied
• We do not warrant that the Service will be uninterrupted, error-free, or secure
• We shall not be liable for any indirect, incidental, special, consequential, or punitive damages
• Our total liability for any claims arising from these Terms shall not exceed the amount you paid for the Service in the 12 months preceding the claim
• We are not liable for damages arising from changes you approved and applied to your store

11. Indemnification

You agree to indemnify and hold harmless Proofly and its operators from any claims, damages, losses, or expenses (including legal fees) arising from:

• Your use of the Service
• Your violation of these Terms
• Content you publish using AI-generated suggestions
• Your violation of any applicable law or third-party rights

12. Termination

Either party may terminate this agreement:

• You: Uninstall the app from your Shopify admin at any time
• Us: Suspend or terminate your access for violation of these Terms, with notice where practicable

Upon termination:

• Your access to the Service will cease immediately
• All data associated with your account will be deleted within 30 days, as described in our Privacy Policy
• No refund is due for the remaining portion of a billing period

13. Governing Law & Disputes

These Terms are governed by the laws of England and Wales.

Any disputes arising from these Terms shall be resolved through good-faith negotiation first. If negotiation fails, disputes shall be submitted to the exclusive jurisdiction of the courts of England and Wales.

14. Changes to These Terms

We may update these Terms from time to time. When we make material changes:

• We will update the "Last Updated" date at the top of this page
• We will notify you via email or in-app notification for significant changes
• Continued use of Proofly after changes constitutes acceptance of the updated Terms
• If you disagree with changes, you may terminate your subscription

15. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
